Xilinx is searching for a Tax Attorney – Mergers & Acquisitions who will help drive multinational merger and acquisition transactions, including due diligence exercises, structuring contracts and integration planning and execution.

 

As a leader in this highly visible position, you will utilize your technical skills to plan and structure transactions with the support of both internal and external resources.  You will use your collaboration skills to work with the Xilinx Tax team, functional and cross-functional Xilinx teams as well as target/acquired company personnel.

 

This position reports to the Vice President – Tax.

 

Responsibilities:

  • Functional lead for M&A transactions - Utilizes experiences in M&A, US and non-US tax to optimize the Company’s global tax structure and minimize cash taxes.  Once a tax strategy is identified for a transaction, leads and joins in the planning and execution of same
  • Oversees and contributes to the development of detailed plans and milestones in conjunction with other functional leaders and cross-functional teams so that Xilinx achieves its tax objectives as well as required revenue-generating and cost-savings synergies
  • Evaluates the tax costs and benefits of corporate transactions and investments to maximize value.  Works closely with the Tax Operations team to estimate cash tax and financial statement implications
  • Develops and maintains constructive and strong working relationships across a diverse/global environment.  Stakeholders include Corporate Development, Legal, Business Operations, Sales & Marketing and Corporate Accounting
  • Reviews relevant portions of income tax returns to make sure that M&A transactions and subsequent integration transactions are properly reported
  • Assesses tax risks and documents tax positions, including uncertain tax positions.  Participates in income tax audits
  • Monitors and evaluates new and pending legislation.  Disseminates appropriate information to the Tax team, Finance and other senior leaders
  • Provides technical tax advice to the business outside of M&A transactions.  Reviews tax clauses of contracts (e.g., revenue contracts) and recommends changes and best practices
  • Drafts and/or reviews intercompany agreements


Qualifications:

  • JD (Juris Doctor) required, with LLM or MBA a plus
  • 15+ years tax planning and M&A experience. Combined law firm/Big 4 and industry experience a plus
  • 5+ years of demonstrated expertise and success in leading and executing M&A
  • Strong leadership skills. Highly motivated, energetic. Willing to address both the strategic as well as the tactical
  • Solid project management skills. Strong attention to detail, organization and follow-through
  • Effective interpersonal skills, including persuasive written and oral communication skills
